We’re committed to achieving high standards of governance designed to protect the long-term interests of all other stakeholders, while promoting the highest standards of integrity, transparency and accountability.
Board and internal governance
We seek to ensure diversity in the composition of our Board; gender diversity, ethnic and social backgrounds, and personal skills.
Female representation across our Executive Committee and direct reports is 43% and we are committed to improving this in the future. Across all employees, we have achieved a ratio of 42% (415 out of 982) female and 58% (567 out of 982) male.

Committees
Our Committees are the key pillars of our Corporate Governance Structure.
Each Committee operates under clear terms of reference, copies of which are available below. Details of the operation of each Committee are provided within the relevant Committee report in our Annual Report.
Our business is led by our experienced Board of Directors. Details of the Board of Directors and their membership to Board Committees can be found on the Leadership page.
Audit Committee
The Committee monitors the integrity of the Group’s financial statements and supports the Board with its ongoing monitoring of the effectiveness of the Group’s risk management and internal control systems.
Nomination Committee
The Nomination Committee evaluate the Board of Director’s and examines the skills, knowledge and experience needed, making recommendations on succession planning and appointments to the Board.
Remuneration Committee
The Remuneration Committee seeks to support the delivery of the Group's strategy by establishing remuneration arrangements which support sustainable value creation for our shareholders.
Sustainability Steering Committee
Our Sustainability Steering Committee is responsible for the delivery of our sustainability strategy and regularly reviews key issues to ensure our strategy remains relevant and impactful, delivering meaningful value to all our stakeholders: employees, customers, suppliers, communities, and investors. By focusing on what matters most to our stakeholders we can uphold our commitment to being a positive force for good and shared success.
Board Diversity Policy
This policy sets out the approach to diversity in respect of the Board of Directors of Avon Technologies plc. The Committee shall comprise at least three Directors. A majority of the members of the Committee shall be independent Non-Executive Director.
